<p>Apart from the obvious pun of the cruise ship Costa Concordia which crashed last Friday off the Tuscan coast near the island of Giglio near <a class="zem_slink" title="Province of Grosseto" href="http://maps.google.com/maps?ll=42.75,11.1083333333&amp;spn=0.01,0.01&amp;q=42.75,11.1083333333%20%28Province%20of%20Grosseto%29&amp;t=h" rel="geolocation">Grosetto</a>, <a class="zem_slink" title="Tuscany" href="http://www.regione.toscana.it/" rel="homepage">Tuscany</a>, one wonders economically and socially is Italy sinking ?</p>
<p>Is it time to jump the boat before been left last man onboard to turn the lights out like captain Schettino did ?</p>
<p>Not covered by the international media but last week <a class="zem_slink" title="Sicily" href="http://maps.google.com/maps?ll=37.5,14.0&amp;spn=2.5,2.5&amp;q=37.5,14.0%20%28Sicily%29&amp;t=h" rel="geolocation">Sicily</a> came to a grinding holt. A strike by lorry drivers blocking motorways and principal transport routes started last weekend, by Thursday the supermarket shelves were empty, <a class="zem_slink" title="Filling station" href="http://en.wikipedia.org/wiki/Filling_station" rel="wikipedia">petrol stations</a> dried up, stores without supplies and okay life is slow here, but last week it was scary. It felt if though Sicily had literally stopped functioning.</p>
<p>Amazingly seasonal, zero mile supplies became popular like once upon a time. Prices though shot throw the roof, even <a class="zem_slink" title="Black market" href="http://en.wikipedia.org/wiki/Black_market" rel="wikipedia">the black economy</a> benefitted with under the counter sales of scare products. There was even rumours the mafia was starting to get involved (if not already) controlling market prices.</p>
<p>Personally i was without petrol, not even enough to get to the airport in case of an emergency departure. I felt trapped. At least the cash machines worked in case a shop had some supplies. Ok it only lasted till Saturday, probably because the mums told their lorry driver sons to get back to work as their food supplies dried up for Sunday lunch&#8230;but even now Tuesday shops, stores, supermarkets are only just starting to stock up. With people now panic buying in case of a repeat strike, those few supplies arriving are quickly disappearing. Fortunately today i managed to find a petrol station with petrol, so i feel safer.</p>
<p>But worse the strike is now rolling out across the mainland. From north to south from Milan to <a class="zem_slink" title="Apulia" href="http://maps.google.com/maps?ll=41.0086111111,16.5127777778&amp;spn=1.0,1.0&amp;q=41.0086111111,16.5127777778%20%28Apulia%29&amp;t=h" rel="geolocation">Puglia</a> roads blocked, <a class="zem_slink" title="Truck" href="http://en.wikipedia.org/wiki/Truck" rel="wikipedia">lorries</a> not delivery, live &amp; fresh stock reaching sell by date, queues at petrol stations starting to form and some gas stations already dry. Even a protestor has been killed by a German lorry driver.</p>
<p>This is the people’s revolution against <a class="zem_slink" title="Mario Monti" href="http://en.wikipedia.org/wiki/Mario_Monti" rel="wikipedia">Mario Monti</a> austerity reforms. Monti euro technocrat probably appointed by world banks to control their interests. With property tax on owner’s primary residence been reintroduced after 5 years, increases of <a class="zem_slink" title="Value-added tax" href="http://en.wikipedia.org/wiki/Value-added_tax" rel="wikipedia">VAT</a>, redundancy growing, tax evasion been stamped on, from liberation of Chinese walled markets like taxis, chemists, notarys and more&#8230;.the population have had enough and the Italian revolution has started and is Italy sinking ?</p>

After an afternoon meeting with Napolitano the president he had planned to have another confidence vote in parliament (his 55th) but after today when he didn&#8217;t get a majority on the austerity plans (though they won) it looks like another confidence vote would fail so prudently he is planning to step down but without a fight.</p>

<p>Wikileaks finally managed to publish much awaited documents and reports today. Our interest here in Italy is what they have to say about Berlusconi.</p>
<p>In a period when Berlusconi’s reign is “leaking” it will be interesting to see how the Italian and international media pick up on his relationship with the Russian president Putin and whether he really is the western european spokesman with Russia, as suggested by Hilary Clinton.</p>
<p>Berlusconi’s control of Italy is slipping and any other western European prime minister would have walked months if not years ago. What with affairs with Ruby and B’s taste for young girls, Fini walking out of his government, EU threatening fines for Naples refuge collection (or lack of) chaos, B’s x-senator Ulti been accused of been the middleman between the mafia Casa Nostra and B&#8230;.any normal society would have expected his resignation ages ago. But NO Berlusconi continues to walk tall, in a promiscuous society that admires his manhood&#8230;.as he said “better to like girls than be gay”&#8230;.in a society where the students appear to have fun marching the streets for education reforms and viewers that are still fixated with Big Brother and only recently in the Italian BB11 they are still sending in girlfriends  of contestants to challenge on screen affairs&#8230;.yet the press doesn’t even talk about Dolce &amp; Gabbana’s massive multi million tax evasion fraud&#8230;probably because they have massive advertising budgets with both TV’s and the press&#8230;would that be Berlusconi’s TV and media monopoly by any chance ??&#8230;.all added up it makes that loveable Italy that i choose to live in.</p>
<p>But what will happen with the latest Wikileaks&#8230;.will the left attack Berlusconi for his Russian friendship&#8230;or has he a more international role than is portrayed&#8230;it will be an interesting week to follow.</p>

<p>Further to recent investigations regarding using a UK limited liability company with registered branches in Italy or setting up an independent Italian corporate identity i would like to further discuss the Italian limited liability company known in Italy as SRL (Società a responsabilità limitata), literally translated as “company with limited responsibility.” And similar to a UK ltd company.</p>
<p>For those of you considering DIY restoration of your Italian property, there are certain options. <span id="more-1324"></span>Forget just simply doing a DIY, unless you are a builder, because as soon as you require any trade to enter your property in Italy you need to “employ” them. You can do this as an individual (<em>persona fisica</em>) or as a self employed company (<em>ditta individuale</em>) or as a ltd company.  Simple DIY paying cash to your workers for serious restoration jobs in Italy is not simple in fact it is illegal. MIPC as Italian Property Consultants exist for this reason. I would advise you to set up an Italian limited company for that complex DIY project SIMPLY to protect your personnel assets from any unfortunate 3<sup>rd</sup> party claims.</p>
<p>Beyond this article there is a further Italian corporate structure known as SPA (Società per Azioni) which is more like a UK PLC and is used by organisations to be quoted on the Italian stock exchange by large corporate businesses in Italy. The S.p.A. (similar to a Joint Stock Company) is the most regulated of the two major limited liability companies requiring a full-blown board of directors and board of auditors, as well as higher minimum capital requirements (i.e. 120.000,00 euros). The regulations set forth in the Italian Civil Code (&#8220;ICC&#8221;) for the S.p.A. also apply to the S.r.l., unless stated otherwise.</p>
<p>Here i will not go into the formalities but more the issues you should be aware of if you are in the phase of considering setting up and SRL in Italy.</p>
<p>Italian SRL:</p>
<p>An Italian SRL is similar to a small UK ltd company, the type of UK Ltd company you set up to have limited liability and when you are running the business yourself or with a few other shareholders/partners. In Italy the SRL does not actually have shareholders but you hold quotas, in the bigger picture the concept is the same, just its important to know that they are not shares. There are no requirements for management by a board of directors. Also in most cases, small S.r.l.&#8217;s can do without a board of auditors provided there be at least one director (Sole Director).</p>
<p>How to create an SRL in Italy:</p>
<p>In the UK there are many off the shelf ready made UK Ltd companies which for a small fee you can become the shareholder and sole director and company secretary. Personally i have always used  <a href="http://www.hanovercompanyservices.com/">Hanover Company Services</a> in the UK, cheap efficient and professional to either buy an off the shelf ltd company or create a new Ltd UK company. The memorandums of associations are very generic and basically you can use the corporate structure to trade in most activities.</p>
<p>In Italy it is different and not so easy.</p>
<p>You must follow the following steps and costs;</p>
<p>1: Determine the articles of association (<em>statuto</em>) and specify all the trades you wish to operate in. Add as many as you possibly can think of, in which your business in the future may wish to operate in, as any future changes involve a visit to the notary (minimum 2000 euros). Get a professional (normally your <em>commercialista</em>, that’s the Italian accountant that everyone has in this country !!) to check that your <em>statuto </em>covers every possible sub section of a trade that exists in Italy. There are more than you think !!!! &#8230; be specific in your requirements to ensure you cover that minor trading section that you assumed obviously was covered  but with the Italian law it isn’t. !!!!! You have been warned.</p>
<p>2: Obtain an Italian fiscal code for yourself. You need this as the person creating/owning the SRL.  You can use your non Italian address if you don’t have a house in Italy.</p>
<p>3: You need an Italian address for the future SRL in Italy. Either use your Italian property address, either owned or rented or ask a friend to use their address. I haven’t got around to studying virtual Italian PO boxes just yet or service companies offering this option at their address, but i will. If necessary use your Italian accountant’s/lawyer’s address with their approval.</p>
<p>4: Fix an appointment with a notary to create and register the new SRL and ask for a quote for the expenses. This can vary from 2000 euros  upwards.</p>
<p>5: Deposit the minimum nominal capital of the SRL 10,000 euros in the new “temporary” Italian company bank account at your preferred Italian bank. This is a strange concept in that you need to pay the nominal capital into the “temporary” company bank account, which actually doesn’t exist, as the bank cannot create the account until the notary has actually registered the company. But we are in Italy and the system works. Use a trusted Italian bank. I actually asked the bank but who has ownership of my nominal capital until the notary has registered the company and you, the bank,  have transferred the deposit into the then new company account&#8230;answer&#8230;”its in the system”&#8230;.just accept it &#8230;..it’s official and works.</p>
<p>6: if you are a sole director &amp; sole quoteholder and also the future company secretary (<em>delegato amministrativo</em>) then you must deposit 100% of the nominal capital. If there is more than 1 person involved then you only need to deposit 25%. Here’s some small personnel advice&#8230;.In Italy the best small companies are made of an odd number of quoteholders and i would advise you to ensure that they are less then 3 share/quoteholders  J !!!! Is that clear !!!</p>
<p>7: With the relevant nominal capital paid to the bank, take the receipt to the notary. He will register the company in accordance with your <em>statuto</em> and then you have the act of registration, in Italian the <em>atto di registrazione</em>.  Deposit a copy of the <em>atto</em> with the bank to ensure your money is deposited in your new Italian company bank account.</p>
<p>8: Get your accountant to register the new company with the local chambers of commerce (<em>camera di commercio</em>) and with the <em>REC registro ditte</em>. Also get them to apply for your VAT (<em>IVA</em>)number (obligatrory for any Italian company indentity.)</p>
<p>9: With an SRL you will be obliged to follow the company accounts filing and tax returns. All Italian company accounts follow the calendar year to 31/12. Company corporation tax returns are due.  National and local company taxes will be due. Individual tax returns too.</p>
<p>10: The company must register with <em>INPS</em> and <em>INAIL</em> to pay employee taxes and social security taxes.</p>
<p>11: Your accountant with their services or their preferred wages burueau (<em>consulente di lavoro</em>) will also prepare wage slips (buste paghe).</p>
<p>Further SRL taxes and employee issues will be discussed in a separate article.</p>

<p>There is no tax free income. The following is for income raised during the financial year 2009 upto 31/12/09. In Italy the tax year is the same as the calender year.Tax returns on the Mod 1 due 31.5.10.</p>
<p>First 15,000 euros taxed at 23%</p>
<p>Further income from 15000 &#8211; 28000 taxed at 27%</p>
<p>Further income from 28000 &#8211; 55,000 taxed at 38%</p>
<p>Further income from 55000 &#8211; 75000 taxed at 41%</p>
<p>Anything above 75000 taxed at 43%</p>
<p>So an income in Italy  of 100,000 euros would result in an italian tax bill of</p>
<p>15000@23%=3450</p>
<p>28000-15000=13000@27%=3510</p>
<p>55000-28000=27000@38%=10260</p>
<p>75000-55000=20000@41%=8200</p>
<p>100000-75000=25000@43%=10750</p>
<p>For a total tax bill of 3450+3510+10260+8200+10750=36170</p>

<p>Yesterday the British bank Barclays made an improved offer of 540 million euros (804.6 million dollars) for 135 branches of Italian Banca Monte dei Paschi di Siena (BMPS).</p>
<p>This expansion by Barclays despite the crisis saw Barclays offer about four million euros per branch office, an increase from 2.5 million euros proposed a year ago.</p>
<p>Barclays is unusual among European banks in that it is expanding. Last year it picked up cheaply the North American activities of failed US investment banking giant Lehman Brothers and now appears particularly interested in southern Europe.</p>

<p>Trapani airport (TPS) is fastly expanding and becoming the gateway to south west sicily, Trapani, Marsala, Salemi, Scopello, Segesta and the Egadi Islands. Historically a military airport. With Ryanair operating flights from here since last year, the airport has transformed <span id="more-614"></span>from an outside hut into a discreet international airport. Don&#8217;t expect too much, you still have to walk to and from the plane across the landing strips, but its getting there.</p>
<p>Over the last 6 months the once old arrival lounge and delapidated departure lounge has now been transformed, there is even an escalator to go to the new 1st floor departure lounge. Don&#8217;t expect to see screens listing departure gate (as of 2011 they exist), as it is each gate is dedicated to a specific destination. That will make sense when you get through customs control. Currently gate 6 is exclusively for departures to London Luton for example.</p>
<p>Location: 20 minutes south of Trapani, between Trapani and Marsala. Motorway connection 5 minutes distance. I <!--more-->would strongly advise car hire for onward transport as the public services are scarce.</p>
<h2>Trapani :</h2>
<p>Enjoy the scenic arrival flying in over the Egadi Islands of Favignana, Levanzo, Marettimo and the hilltop town of Erice as you fly in to TPS. Trapani from the air looks a little rundown, with its 1970&#8242;s appartment blocks. Recently modernised for the America&#8217;s cup in 2005, (what was it like before?) Trapani offers an interesting seaside town, fishing and commercial port (yes international cruisers now dock here) with beautiful churches and amazingly a pretty modern wide range of shops. Great place to start a holiday round SW Sicily.</p>
<h2><strong>Trapani accomodation :</strong></h2>

<p>Italian Electric socket ? Recharge your laptop before departure: There is a normal italian plug socket on the wall behind the escalotor, directly across from the bar. Next to the girl, Marina,  who safe wraps the luggage (not anymore but the socket is still there).</p>

The very last sign is confusing as it states Florio military airport &#8220;Aeroporto Florio&#8221;&#8230;its the same airport..theres only one here. Drive towards main terminal and drop off on the left just before long term car park barriers all before terminal. No petrol station in airport. Nearest petrol station for top up difficult to find. Make sure you top up on motorway, or downtown Trapani, or Marsala.</p>

The Airport bus to the Plaza de Colon (Route 89) departs from the Arrivals level of each terminal from 04:45 am until 02:00 am and costs approx. €2.40.</p>

<p><strong>Airport Weeze</strong> is located 5 km from Weeze, approximately 70 km from Düsseldorf and 60 km from Arnhem and Nijmegen. Buses to Weeze, to Düsseldorf, to Essen, to Duisburg and Cologne and to the dutch Cities of Arnhem, Nijmegen, Utrecht and Amsterdam leave from outside the terminal. To Weeze train station the journey takes approximately 10 minutes. To Düsseldorf it takes 1 hour 15 Minutes. From Airport Weeze to Amsterdam it takes 3 ½ hours. There is also a taxi rank in front of the terminal.</p>
<h1>Eindhoven : (EIN)</h1>
<p><strong>Eindhoven Airport</strong> is located approximately 8 Km from Eindhoven and 120 Km from Amsterdam. There is no rail connection from the airport to the surrounding cities however there is a bus service to Eindhoven and Amsterdam.</p>
<h1>Francoforte-Hahn : Franckurt (HNN) :</h1>
<p><strong>Frankfurt-Hahn</strong> is located approximately 124 km from the city of Frankfurt in the low mountain range area Hunsrück and the federal state Rheinland-Pfalz (Rhineland-Palatinate). There is no rail service to the airport. Terravision runs a new service connecting Hahn Airport to Neu-Isenburg, Offenbach and Hanau for €8. Other shuttle bus services connect the airport with Frankfurt-city centre, Trier, Koblenz, Mainz, Worms and other towns. <p><strong>Genoa Airport</strong> is situated about 6 Km outside of Genoa city. Taxis are also available; the journey time is approximately 20 minutes and a taxi to the city centre costs about €15.00.</p>
<p>Gothenburg City : (GSE) : Sweden : <strong>Gothenburg Airport</strong> is situated 12 Km outside of Gothenburg city. <h1>Ibiza (IBZ) :</h1>
<p><strong>Ibiza Airport</strong>, the airport is situated about five miles (8km) south of Ibiza Town.<br />
<strong>Transportation.</strong> A bus runs every half an hour from the airport to Ibiza Town (and return). It is more convenient to take taxis, which are available for transport to Ibiza and other towns on the island. There are ferry crossings from nearby Port de Formentera to the island of Formentera throughout the day, taking about 45 minutes.<br />

There is a bus service that runs from the airport, this is located outside the terminal and is operated by Municipal Transport Authority. <p>First Fiat last week announced the takeover at Chrysler&#8230;.Now in a dramatic weekend of negotiations yesterday the Fiat (Italy) chairman Luca Corderodi di Montezemolo announced that Fiat is in negotiations with General Motors (Europe) the owners of Opel (Germany) and Vauxhall (UK) and Saab (Sweden) with the intentions <span id="more-604"></span>of a takeover, thus bailing out both GM and Opel (need 3.3bn euros) from their own government commitments.</p>
<p>Saab under independent swedish law appears not to be in couded in th enegotiations.</p>
<p>Canadian Magna International are also in potential negotiations with Opel.</p>
<p>Fiat CEO Sergio Marchionne is due to visit German ministers today and was quoted as saying &#8220;This would make Fiat very strong&#8221;&#8230;how much do they pay him for that wisdom ?</p>
